If you are a Persimmony customer or an authorized user of the Persimmony platform, your use of the platform is governed by your organization’s agreement with Persimmony (the “Customer Agreement”), which prevails over these Terms with respect to the platform.

You may use the Website for lawful purposes only. You agree not to:

1. use the Website in violation of any applicable law or regulation;
2. attempt to gain unauthorized access to any part of the Website, its servers, or connected systems;
3. probe, scan, or test the vulnerability of the Website without Persimmony’s prior written consent;
4. interfere with or disrupt the Website’s operation, or impose an unreasonable load on its infrastructure;
5. scrape, crawl, or harvest content or data from the Website through automated means except as permitted by our robots directives; or
6. use the Website to transmit malware or engage in fraudulent, harmful, or abusive activity.

Information Persimmony collects through the Website is handled in accordance with our Privacy Policy. Personal information and health information that customers and their users process within the Persimmony platform are governed by the Customer Agreement and the applicable Business Associate Agreement, not by these Terms or the Website Privacy Policy.

The Website may link to third-party sites for convenience. Persimmony does not control and is not responsible for the content or practices of those sites.

6. Disclaimers

The Website is provided “as is” and “as available,” without warranties of any kind, express or implied. Persimmony does not warrant that the Website will be uninterrupted, error-free, or free of harmful components. Content on the Website is for general informational purposes and does not constitute a commitment, representation, or warranty regarding the Persimmony platform; platform commitments are set out in the Customer Agreement and the Service Level Agreement.

To the fullest extent permitted by law, Persimmony will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Website. Nothing in these Terms limits liability that cannot be limited under applicable law.

Persimmony may update these Terms from time to time. The current version is published on the Website with its effective date. Continued use of the Website after an update constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.
